Terms of service
This is a starter Terms of Service. Have a lawyer review before going live.
1. Who we are
Pondera is a productized research and documents firm. These Terms govern your use of this site and our services.
2. What we deliver
When you order a SKU, we deliver the document described on its product page: page count, format, scope, and delivery window. Two revision rounds are included with each order. See our Revision Policy for specifics.
3. Pricing and payment
Prices listed on the catalog are in US Dollars unless noted otherwise. Payment is taken at order time via one of our PCI-compliant payment providers (Paystack, Stripe, or PayPal, selected at checkout). The order is committed once payment clears. Add-ons (rush delivery, source files, extra revisions) are listed on the catalog page and charged at the rates shown.
4. Delivery timelines
Delivery windows shown on each SKU page are business days, beginning the first business day after payment clears AND we have received your brief / source materials. If your industry has insufficient publicly available data for us to deliver the SKU as described, we will tell you within 4 business hours of intake and refund in full, that is the only refund situation we honor by default.
5. Revisions
Two revision rounds are included in every order. Each round has a 48-hour turnaround. Additional rounds are $100 each. We will rebuild from scratch at no extra charge if our first draft missed the brief as we received it; this is at our discretion.
6. Refunds
We do not refund for change-of-mind, scope creep, outcomes outside our control (e.g. an investor passes on your round, a lender declines an application), or work already delivered. We refund in full if we determine your industry has insufficient publicly available data for the SKU you ordered, before substantial work has begun. See the Revision Policy for the full refund stance.
7. Intellectual property
On delivery and full payment, you own the work product (the document, the financial model, the deck). Pondera retains the right to use anonymized excerpts on the site and in marketing, never with your name, company, or identifying details unless you explicitly consent in writing. We retain ownership of underlying methodology, templates, and frameworks.
8. Confidentiality
We treat the context you share as confidential. We will sign an NDA on request before any work begins; a standard NDA template is available, email george@provdeck.com. We do not reuse client-specific content across other clients.
9. What we won't do
We don't promise outcomes (rounds closing, loans approving, partners signing). We don't provide legal, tax, accounting, or regulated investment advice, our work is for informational and presentation purposes. We don't ghost-pitch on your behalf. We may decline work outside our productized scope and will refer you elsewhere when we do.
10. Acceptable use
You may not use Pondera's services to: produce documents misrepresenting facts to investors or regulators; harass, defame, or impersonate any party; submit applications you do not have legal authority to make; or violate applicable law.
11. Liability
To the maximum extent permitted by law, Pondera's total liability for any claim arising from your use of our services is limited to the amount you paid for the SKU in question. We are not liable for indirect, consequential, or special damages (including lost profits, lost funding, or business interruption).
12. Termination
You may cancel an order before substantial work has begun by emailing george@provdeck.com; we refund in full minus any time already invested at our then-current rate. We may decline or cancel an order at our discretion if the work falls outside our scope, violates these Terms, or if we determine we cannot deliver to our quality standard, we refund in full.
13. Changes to these Terms
We may update these Terms. Material changes will be highlighted on this page and emailed to active customers. Continued use after a change constitutes acceptance.
14. Governing law
Pondera is owned and operated from Nairobi, Kenya. These Terms are governed by the laws of the Republic of Kenya, and the courts of Kenya have jurisdiction, except where your local consumer protection law gives you rights that cannot be contracted away.
